Reliance Worldwide said in an Oct. 19, 2026, announcement that its search for alternative acquisition proposals ended without a bid, leaving Brookfield’s agreed purchase of the plumbing-products company to proceed toward outstanding approvals.
Rapid News Brief: The update advances an existing transaction. It does not mean Brookfield has completed the acquisition or that the remaining conditions have been satisfied.
Market testing ends without a proposal
RWC’s ASX announcement says the go-shop period ran from Sept. 16 until 11:59 p.m. Melbourne time Oct. 16. The company and its advisers contacted potential strategic and financial buyers internationally but received no proposal.
The board reaffirmed its unanimous support, conditional on no superior proposal and a favorable independent expert conclusion. The agreed cash consideration remains US$3.38 per share. RWC’s stated A$4.87 equivalent uses the Oct. 16 exchange rate, rather than fixing an Australian-dollar value for all future dates.
Reuters reported that the September agreement valued the company at $2.53 billion. Its reporting describes the go-shop structure as unusual in Australian transactions and notes that it allowed RWC to solicit rivals and negotiate alternative terms.
Reuters also reported that shareholders can elect payment in U.S. or Australian dollars if the transaction proceeds and receives shareholder approval.
Approval milestones remain ahead
RWC lists early November for dispatch of its scheme booklet, early to mid-December for the shareholder meeting and late December for implementation. All are indicative dates, not completed milestones.
The company says shareholder, court and regulatory approvals remain required, along with the independent expert’s conclusion. Restrictions on soliciting and discussing other bids now apply, subject to the agreement’s specified exceptions.
For businesses following a supplier’s ownership change, the distinction is operationally important: a completed market-testing stage and a completed acquisition are different events. This announcement establishes progress toward a possible change of ownership, not a new product strategy, supply arrangement or customer-service commitment.
