Thrive Holdings agreed on Oct. 29, 2026, to acquire ADT for $10 per share in cash, proposing private ownership of a major home and small-business security provider while promising continued investment in its technology and services.

The companies’ announcement values ADT’s equity at approximately $7.6 billion and puts enterprise value at $15.3 billion. Those are different transaction measures, not competing estimates of the cash payable to shareholders.

Closing remains conditional

Completion is expected in the first quarter of 2027, subject to shareholder approval, U.S. antitrust approval and other closing conditions. ADT will continue operating independently until then.

RTTNews reported that the agreement includes a 30-day period for ADT to seek other proposals, with a possible extension. Financing commitments come from funds managed by Apollo affiliates, according to the announcement.

Technology plans are still commitments

Thrive says its engineers would work with ADT’s professionals to improve products and customer support. The companies also say ADT’s privacy policies will remain unchanged and new data sharing will require customer permission.

For customers and business partners, the immediate development is an ownership agreement rather than a completed operational change. The announcement does not establish a new service standard, a changed contract price or a demonstrated technology improvement. Those distinctions matter when assessing what the proposed transaction means for an existing security relationship.
