Valero announced on Oct. 30, 2026, that it had agreed to acquire LyondellBasell’s former Houston refinery site for $320.5 million, positioning the refiner to restore part of the facility’s crude-processing capacity while the seller continues reshaping its portfolio.
Rapid News Brief — The purchase price is subject to closing adjustments. The companies expect the transaction to close by the end of 2026, subject to approvals and other closing conditions. The announcement is an agreement, not a completed acquisition.
A planned restart beside an existing refinery
Valero’s SEC-disclosed announcement describes an approximately 700-acre facility on the Houston Ship Channel, adjacent to its existing Houston refinery. The buyer is Valero Refining-Texas, a wholly owned subsidiary.
Valero expects to initially restart 165,000 barrels a day of light sweet crude-processing capacity by the end of 2027. It also described an opportunity for later investment in high-complexity processing of heavy sour crude. That possible later investment is distinct from the initial restart target.
The two timetables matter for fuel-dependent businesses: completing the purchase would transfer the asset, while restarting processing would be a subsequent operating milestone. The planned throughput is not fuel supply already available in the market.
The seller’s portfolio and workforce plans
LyondellBasell separately confirmed the price and said it had evaluated alternatives after deciding to stop refining at the site. It characterized the sale as part of a portfolio transformation focused on assets with a stronger strategic fit.
Chief Executive Peter Vanacker said the agreement provides continued employment for the site’s workforce and an orderly transition to a buyer whose core business is refining. That is the company’s account of the agreement, not a guarantee of employment indefinitely.
The seller said Valero would assume ongoing site operations, environmental liabilities, pension costs and related employee obligations. Those responsibilities accompany the proposed transfer of the facility and its related assets; the purchase price alone does not describe the full operating transition.
