Kimberly-Clark completed its acquisition of Kenvue on Nov. 2, 2026, bringing household, personal-care and consumer-health brands under common ownership and shifting the transaction from an approval process to integration.
In its closing announcement, Kimberly-Clark said Kenvue shares stopped trading on the New York Stock Exchange at the market opening Nov. 2. Kenvue shareholders will receive $3.50 in cash and 0.14625 Kimberly-Clark shares for each share held.
A broader brand portfolio
The combined portfolio includes Huggies, Kleenex, Cottonelle, Listerine, Neutrogena and Tylenol. Kimberly-Clark said it now brings together 10 billion-dollar brands.
The company reiterated anticipated run-rate synergies of $2.1 billion. That figure is a forecast of benefits from the combination, not savings already delivered at closing. Completion of the purchase does not establish that integration targets have been achieved.
From separate businesses to integration
A November 2025 communication filed with the SEC told Kimberly-Clark vendors, suppliers and contractors that the businesses would remain separate until closing. At that time, the company expected the deal to close in the second half of 2026.
For commercial partners, the milestone changes the relevant business question from whether the transaction will close to how the enlarged company will organize its relationships and operations. The announcement is not, by itself, evidence of changes to any particular supplier contract, product price or customer service arrangement.
Kimberly-Clark also said three former Kenvue directors have joined its board, which now has 13 members.
