Guidewire agreed on Oct. 27 to acquire London-based hyperexponential for $1.7 billion in cash, subject to adjustments, plus up to $400 million tied to recurring revenue targets. The proposed purchase would expand Guidewire’s underwriting and pricing software capabilities for commercial property and casualty insurers.
A base price and a conditional payment
The additional consideration is contingent, not part of an unconditional $2.1 billion cash payment. Guidewire expects to finance the transaction with $1 billion in new term loans and existing cash, according to its announcement.
The company expects closing in the second quarter of its fiscal 2027. That is a prospective timetable, not confirmation that ownership has transferred. Reuters separately reported the price structure, financing and expected closing period.
From an existing partnership to ownership
Hyperexponential already participates in Guidewire’s PartnerConnect technology alliance. Its software serves commercial insurance underwriting and pricing, an area in which Guidewire wants AI agents to work alongside underwriters and actuaries.
Guidewire says the combination could support faster responses to insurance submissions and more scalable risk decisions. Those are expected benefits, not independently demonstrated results of a completed integration.
For insurance technology teams, the immediate consequence is a planned change in a software partner’s ownership. The announcement does not by itself establish migration requirements or deployment readiness for an individual insurer. Buyers should distinguish the signed acquisition agreement from future product integration and assess any implementation changes against their own systems.
