Wonder Group said Nov. 5, 2026, that it had confidentially submitted a draft registration statement on Form S-1 for a proposed U.S. initial public offering, advancing stock-market plans for the food business that owns Grubhub.
The proposed offering would involve Class A common stock, according to Wonder’s announcement. The company has not determined the number of shares or the price range.
Terms remain open
Wonder said the offering depends on market and other conditions and completion of the Securities and Exchange Commission’s review. The statement does not announce a completed share sale or specify a listing date, exchange or proceeds target.
The confidential draft itself does not accompany Wonder’s statement, which provides no revenue, profit or other financial results from that document. TechCrunch also reported the announcement.
A business beyond delivery
Founded by Marc Lore, Wonder operates food hall-style locations where customers can combine meals from multiple restaurant brands. Its current corporate description also includes prepared foods and in-home meal kits within an integrated platform spanning recipe development through delivery.
Wonder’s acquisitions have broadened that business. Just Eat Takeaway.com confirmed completion of its Grubhub sale to Wonder on Jan. 7, 2025. Wonder had also acquired meal-kit company Blue Apron in 2023, as its earlier company announcement records.
The new submission concerns financing plans for that combined operation. Offering terms and any disclosed use of proceeds remain details to watch; the announcement alone does not establish how much capital Wonder would raise.
