Sinclair said Nov. 4 it will not pursue a standalone separation of its Ventures portfolio for now, keeping Tennis Channel and other assets within the media group while its review of potential broadcast transactions continues.
The decision narrows one part of a strategic review begun in August 2025. It does not mean Sinclair has ended its search for acquisitions, partnerships or other combinations.
What remains inside Ventures
Sinclair Ventures owns the assets of the company’s Tennis and Other reporting segments. The Tennis business includes Tennis Channel, its international and streaming services, TennisChannel 2 and Tennis.com.
Other includes non-broadcast digital businesses such as Digital Remedy, technical services and non-media investments. Sinclair’s local television stations and related broadcast operations are organized separately within the group.
The company said it had considered several ways to separate Ventures before deciding against a standalone transaction at this time. Its statement leaves other options under evaluation; it is not a guarantee that individual assets will remain unchanged.
A change to the original review
On Aug. 11, 2025, Sinclair’s board authorized a review of the broadcast business that included possible acquisitions, strategic partnerships and business combinations. At the same time, it planned to examine a Ventures separation through a spin-off, split-off or another structure.
The original announcement did not promise a transaction. Sinclair said then that the review might produce no deal or strategic change. The new update likewise describes an evaluation process rather than an agreed merger or completed sale.
The operating backdrop
Sinclair disclosed the decision with results for the quarter ended Sept. 30, 2026. Revenue rose 16% to $893 million from $773 million a year earlier.
Core advertising revenue fell 4% to $301 million, while distribution revenue increased 1% to $426 million. Political advertising contributed $136 million, compared with $6 million in the year-earlier quarter.
Management raised its full-year adjusted EBITDA forecast to $825 million to $835 million from $730 million to $760 million. That is a projection for a non-GAAP operating measure excluding specified costs, not a net-income forecast.
