Enerpac Tool Group said Oct. 28 that it completed its acquisition of Specialized Fabrication Equipment Group, adding welding, portable machining, fabrication and material-handling equipment to its industrial tools portfolio.

The company put the purchase price at approximately $472 million: about $452 million in cash, subject to customary closing adjustments, and $20 million in equity awards replacing certain transaction bonuses. The announced consideration is not an all-cash payment.

A completed transaction, with integration ahead

Enerpac acquired the business from SFEG Holdings, a Gladstone Investment portfolio company. Gladstone separately confirmed that the sale had closed.

The acquisition was originally announced in July. Completion is the new development, moving the transaction from an agreement awaiting closing into the buyer’s operating portfolio.

Enerpac said funding combined cash on hand, an expanded $300 million term loan and borrowings under a new $550 million revolving credit facility. It estimates integration costs of $10 million to $14 million.

The company expects $4 million to $6 million in synergies by the third year. Those savings are management’s projection, not benefits already achieved at closing.

Product scope changes before results are known

The business consequence is a broader set of specialized equipment under common ownership. For industrial customers, completing the purchase does not by itself establish changes to a specific product’s availability, delivery schedule or service agreement. Those remain matters for the relevant customer and supplier to confirm.

Future reporting will allow executives to compare actual integration spending and operating progress with the targets announced at closing. The transaction’s completion and the realization of its expected benefits should be assessed separately.
